These terms are a legal contract between you and Howells Digital Ltd. By creating an account, you accept them. If you don’t agree, don’t use OnlyTrade.
1. Parties & definitions
“We”, “us”, “our”, “OnlyTrade” means Howells Digital Ltd, a company registered in England and Wales.
“You”, “your” means the person or business using OnlyTrade. Where you sign up on behalf of a business, you confirm you have authority to bind that business.
“Service” means the OnlyTrade website, mobile app, and all associated features and content.
“Content” means any data, text, images, files, or materials you upload or create in the Service.
“Fees” means the subscription charges listed at onlytrade.ai/#pricing.
2. Your account
- You must be at least 18 and have authority to enter contracts.
- You must provide accurate, current information and keep it up to date.
- You are responsible for keeping your password secure. Tell us immediately if you suspect unauthorised access.
- You may not share your account with anyone outside your business. Each team member needs their own login (on plans where team members are supported).
3. Permitted use
You may use the Service for lawful purposes related to running a trade business in the United Kingdom. You may use it to manage your own customers, jobs, quotes, invoices, certificates, and website.
4. Prohibited use
You must not:
- Use the Service for any illegal or fraudulent purpose
- Upload content that is illegal, defamatory, obscene, infringing, or malicious
- Attempt to reverse-engineer, decompile, scrape, or copy the Service beyond what’s permitted by law
- Interfere with or probe the security of the Service
- Use the Service to send unsolicited marketing (spam) in breach of PECR or the Privacy and Electronic Communications Regulations
- Resell, sublicense, or offer the Service to third parties as your own product
- Upload customer data you don’t have lawful basis to hold
- Use the Service to impersonate another person or business
5. Subscriptions & trials
OnlyTrade is offered on a subscription basis with the following plans:
- Free — £0/month, limited features, basic website on an onlytrade.ai subdomain
- Starter — £20/month
- Professional — £35/month
- Business — £50/month
All paid plans include a 14-day free trial. No card is required to start the trial. At the end of the trial you can downgrade to Free or subscribe to a paid plan. We will not charge you automatically without your explicit payment consent.
6. Payment & billing
- Subscription fees are billed monthly in advance in GBP, inclusive of VAT (where applicable).
- Payments are processed by Stripe or GoCardless.
- If a payment fails, we’ll retry for up to 7 days. If it still fails, we’ll downgrade your account to the Free plan but will not delete your data during this period.
- VAT invoices are available in your account under Billing.
- All fees are non-refundable except where required by UK consumer law, or where we’ve made a manifest error.
7. Price changes
We may change our prices from time to time. If we increase the price of your plan, we will give you at least 30 days’ written notice before the change takes effect. You may cancel before the change applies if you don’t accept the new price.
8. Cancellation
- No contracts. No lock-in. You can cancel at any time from inside your account or by emailing us.
- Cancellation takes effect at the end of your current billing period.
- You retain access until the end of the period you’ve paid for.
- After cancellation, you can export your data for 30 days. After that, your data is deleted (except where we are legally required to retain it).
- 14-day cooling-off period: if you’re a consumer (not a business), you have a statutory right to cancel within 14 days of first subscribing. Because the Service begins immediately, we require your explicit consent to start the Service during the cooling-off period, which you provide by signing up.
9. Your content & data
You own your content. You grant us a worldwide, royalty-free licence to host, store, reproduce, and display your content solely to operate the Service. This licence ends when you delete the content or close your account.
You are responsible for ensuring you have the right to upload any customer data or third-party content to the Service, and that you have the lawful basis to process it. See our Privacy Policy and GDPR page.
We may remove content that violates these terms, the law, or a third-party right, with notice where reasonably possible.
10. Our intellectual property
The OnlyTrade service, name, logo, code, designs, calculator methodologies, template library, and all content we create are our intellectual property or licensed to us. We grant you a limited, revocable, non-transferable licence to use the Service for your business while your subscription is active.
You may not copy, modify, distribute, or create derivative works from our content. You may not use the OnlyTrade name, logo, or branding without our written permission.
11. Service availability
We aim for 99.9% uptime each month, excluding:
- Scheduled maintenance (announced at least 48 hours in advance)
- Emergency maintenance (where we’ll restore service as quickly as possible)
- Outages caused by third-party services (Cloudflare, hosting, payment providers)
- Events outside our reasonable control (force majeure)
If uptime falls below 99% in a month due to our fault, we’ll provide a pro-rata service credit on request.
12. Warranties & disclaimers
We provide the Service with reasonable skill and care. However, the Service is provided “as is” and we do not warrant:
- That it will be uninterrupted or error-free
- That calculations, certificate templates, or any specific feature will meet every possible regulatory standard — you must verify your own compliance with accreditation bodies and regulators
- That it will be compatible with every device or browser
We provide tools to help you run your trade. We do not provide legal, tax, accounting, or compliance advice. You remain responsible for your professional work.
13. Limitation of liability
Nothing in these terms limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under UK law
Subject to the above, our total liability to you for any claim arising from the Service, whether in contract, tort (including negligence), or otherwise, is capped at the fees you have paid to us in the 12 months immediately preceding the event giving rise to the claim.
We are not liable for:
- Loss of profits, revenue, or business
- Loss of anticipated savings
- Loss of goodwill
- Any indirect or consequential loss
If you are a consumer (using the Service outside of your trade or business), nothing in these terms affects your statutory consumer rights.
14. Indemnity
You agree to indemnify us against any claim, loss, or cost (including reasonable legal fees) arising from:
- Your breach of these terms
- Your misuse of the Service
- Your content, including any breach of a third party’s rights or applicable law (including data protection law)
15. Suspension & termination
We may suspend or terminate your account if you:
- Materially breach these terms
- Fail to pay overdue fees after reasonable notice
- Use the Service in a way that endangers the security or operation of our platform
- Engage in fraud or illegal activity
Where reasonably possible, we’ll give notice before suspending and a chance to put it right. We may suspend without notice in cases of serious, ongoing abuse.
On termination, your right to use the Service ends immediately. You may export your data for 30 days before it’s deleted.
16. Changes to these terms
We may update these terms from time to time. If we make material changes, we’ll notify you by email at least 30 days before the changes take effect. If you don’t accept the new terms, you can cancel your subscription before they take effect.
17. Governing law & disputes
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer law gives consumers a right to bring proceedings in their home court.
Before raising a court claim, we ask you to contact us so we can try to resolve the issue informally. Most problems are solved in a single email.
18. General
- Entire agreement: these terms, the Privacy Policy, and any plan-specific terms form the complete agreement between us.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No waiver: our failure to enforce a right is not a waiver of that right.
- Assignment: you may not transfer these terms without our written consent. We may transfer them as part of a corporate reorganisation or sale, on notice to you.
- No third-party rights: no-one other than you and us can enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- Notices: we’ll contact you by email at the address on your account. Legal notices to us must go to the contact address below.
